For founders who live in Peru

Start a US LLC from Peru

Stripe does not serve Peruvian businesses, which is the most common reason Peruvians form a US LLC. Peru itself allows free use of dollars, and SUNAT has rules on income held in controlled foreign companies.

Why a US LLC

Why Peruvian founders form a US LLC

Stripe is not available

Stripe does not open accounts for businesses registered in Peru. A US LLC can apply for a US Stripe account.

Shopify Payments

Shopify Payments is not offered in Peru. A US company with a US bank account can use it for its store.

Invoice in US dollars

Bill US and other foreign clients in dollars, paid to a US account.

One company for global sales

One entity for US marketplaces, app stores and clients in other countries.

Getting paid from Peru

Stripe's list of supported countries does not include Peru, and Shopify Payments is not offered there. PayPal accounts in Peru can withdraw to a local bank account, but PayPal lists transfers to Peru as taking up to seven business days.

With a US LLC, its EIN and a US business bank account, you can apply for a US Stripe account with payouts in dollars. Stripe reviews every account and decides; no one can promise approval.

Peruvian tax

Peru taxes domiciled individuals on worldwide income. Since 2013 the international fiscal transparency regime (Chapter XIV of the Income Tax Law) attributes the passive income of a controlled non-domiciled entity to its Peruvian owners, who pay income tax on it.

Peru has no income tax treaty with the US. Whether your LLC's income is passive or active, and how it goes on your return, is a question for a contador.

Money in and out

Article 64 of Peru's Constitution guarantees the free holding and disposal of foreign currency, and there are no exchange controls on sending money to your LLC or bringing profit home. Dollar accounts are common at Peruvian banks, so money from the LLC can arrive in dollars.

Keep the LLC's books, its US bank statements and the transfer records together; they are what your contador needs for your return.

The US side is the same for everyone

Where you live does not change the US part. It is done online, without travelling, without a US address and without an SSN.

  1. Choose a state: Wyoming or New Mexico for low running costs, Delaware if you plan to raise money from investors.
  2. The formation document is filed with a registered agent in that state, within 48 hours.
  3. The EIN is requested from the IRS as soon as the state approves. No SSN or ITIN is needed.
  4. You get the operating agreement that banks and payment providers ask for.
  5. With those documents you apply for a US business bank account, for example at Mercury.
  6. Every year: the registered agent, the state's annual report where there is one, and Form 5472 for a single-member LLC owned by a foreign person.

Which state?

With no people or premises in the US you can choose any state. Most founders abroad choose on yearly cost and speed.

Peru FAQ

Questions from Peruvian founders

Can a Peruvian resident own 100% of a US LLC?

Yes. No US state requires the owner to be a US citizen or resident, and the EIN is issued without an SSN or ITIN.

Do I need a RUC for the US LLC?

Not for the US side; you identify yourself with your passport. Your Peruvian tax registration matters for your own returns.

Can I bring the money to Peru in dollars?

Yes. Peru allows free holding of foreign currency, and transfers from the LLC can go to a dollar account at a Peruvian bank.

Does SUNAT tax income I leave in the LLC?

Passive income of a controlled foreign entity can be attributed to you under the fiscal transparency regime. Active business income is treated differently; ask a contador.
