From India

For founders who live in India

Start a US LLC from India

Indian freelancers, agencies and SaaS founders often sell mostly to clients abroad. A US LLC gives that business a US identity, a dollar bank account and access to US payment tools, while the Indian rules on overseas investment and disclosure still apply to you.

Why a US LLC

Why Indian founders form a US LLC

Stripe is invite-only

Stripe does not let Indian businesses sign up through its website; new Indian accounts need an invite. A US LLC applies for a US Stripe account instead, which Stripe still reviews on its own terms.

Shopify Payments and US tools

Shopify Payments is not offered to stores based in India. A US company with a US bank account can apply for it, and for US app store and marketplace payouts.

Invoice US clients in dollars

American clients pay a US vendor by ACH or card in dollars, without international wires to India. You decide when to convert and bring money home.

Credibility with US buyers

A US company, a US address from the registered agent and a US bank account make it easier to pass vendor checks at larger American clients.

US investors

US investors usually ask for a Delaware company. Founders who plan to raise in the US often start there or move the structure later.

Getting paid from India

Stripe lists India as a preview market and says Indian businesses can no longer sign up through its website; they must request an invite, while existing Indian accounts keep working. PayPal closed its domestic payments business in India in April 2021 and now focuses on international sales for Indian businesses. Shopify Payments is not available in India, so Indian Shopify stores use third-party gateways.

With a US LLC, its EIN and a US business bank account, you apply for US Stripe, US PayPal Business and Shopify Payments like any American company. The providers still review the business, the website and the owner's passport, and they decide; nobody can promise approval.

Sending money to the LLC

Putting money into a foreign company is an overseas direct investment under FEMA and the Overseas Investment Rules, 2022. A resident individual invests through an authorised dealer bank within the Liberalised Remittance Scheme limit of USD 250,000 per financial year, a limit shared with travel, education and other remittances. Your PAN is required.

Your bank files the reporting, usually Form OI when the money goes out and an annual report on the foreign entity afterwards. Some structures are restricted for resident individuals, such as a foreign entity in financial services. Our India guide covers this step by step.

Indian tax and disclosure

As an Indian tax resident you are taxed on worldwide income. How India treats the profit of a US LLC, and whether a company run entirely from India is seen as managed in India (POEM), depends on the facts. The US and India have an income tax treaty, but how it applies to an LLC is a question for a chartered accountant.

The LLC membership and its US bank account belong in Schedule FA of your Indian return from the first year. Money you later bring home arrives as an inward remittance; keep the paper trail on both sides.

The US side is the same for everyone

Where you live does not change the US part. It is done online, without travelling, without a US address and without an SSN.

  1. Choose a state: Wyoming or New Mexico for low running costs, Delaware if you plan to raise money from investors.
  2. The formation document is filed with a registered agent in that state, within 48 hours.
  3. The EIN is requested from the IRS as soon as the state approves. No SSN or ITIN is needed.
  4. You get the operating agreement that banks and payment providers ask for.
  5. With those documents you apply for a US business bank account, for example at Mercury.
  6. Every year: the registered agent, the state's annual report where there is one, and Form 5472 for a single-member LLC owned by a foreign person.

Which state?

With no people or premises in the US you can choose any state. Most founders abroad choose on yearly cost and speed.

India FAQ

Questions from Indian founders

Can I still get a Stripe account in India?

Only by invite. Stripe says Indian businesses cannot sign up through its website and must request an invite; existing accounts keep working. A US LLC can apply for a US Stripe account, which Stripe reviews separately.

Can an Indian resident own 100% of a US LLC?

Yes. The US has no citizenship or residency rule for LLC owners. On the Indian side, the money goes out as an overseas investment through your bank, within the LRS limit.

Do I need a US LLC to sell on Amazon.com from India?

No. Amazon's Global Selling program accepts sellers based in India. A US LLC matters more when you want a US company, US payouts in dollars, or US payment tools such as Stripe and Shopify Payments.

Does a US LLC lower my Indian tax?

Do not assume it does. India taxes its residents on worldwide income, and how the LLC's profit is taxed in India depends on your facts. Ask a chartered accountant before you start.
