Start a US LLC from the Netherlands

Dutch businesses already have Stripe, PayPal and Shopify Payments, so a US LLC is about US customers, dollars and investors. On the Dutch side, since 2025 the law presumes that a US LLC is comparable to a BV.

Why a US LLC

Why Dutch founders form a US LLC

Contracts with US clients

Many American clients prefer to sign with and pay a US company that has a US address and an EIN.

Dollars in a US bank

Keep US revenue in USD in a US account instead of converting to euros on every payment.

Keep iDEAL

A US Stripe account can also accept iDEAL | Wero from Dutch customers in euros, so you do not lose the payment method Dutch buyers expect.

Formed online

An LLC is formed without a notarial deed, unlike a BV. That does not change how the Netherlands taxes the business.

US investors

A Delaware entity is familiar to US investors, although venture investors usually want a corporation, which an LLC can convert into later.

Getting paid from Netherlands

Stripe, PayPal and Shopify Payments all serve businesses registered in the Netherlands. A US LLC does not unlock payment methods that a Dutch business cannot already get.

With a US LLC you apply for a US Stripe account paid out in dollars to a US business bank account. According to Stripe, US accounts can accept iDEAL | Wero, which is being migrated to Wero during 2026 and 2027. A business outside the Netherlands must show its own company registration number on its website instead of a KVK number. Stripe reviews every application and makes its own decision.

How the Netherlands classifies a US LLC

Dutch residents are taxed on their worldwide income. Since 1 January 2025 the Netherlands classifies foreign entities by statute, by comparing them with Dutch legal forms. The decree that goes with the law lists the US limited liability company, from every state, as comparable to an NV or BV. That presumption can be rebutted, but the starting point is that a US LLC is a company for Dutch tax, even when the IRS disregards it.

For a Dutch owner this usually means the LLC is a shareholding, not your own business income. A holding of at least 5%, alone or with your fiscal partner, is a substantial interest (aanmerkelijk belang), and distributions and gains are taxed in box 2. Smaller holdings fall in box 3.

Where the company is run from

A company that is in fact managed from the Netherlands is resident in the Netherlands for corporate income tax, wherever it was formed. An LLC run from your home in the Netherlands can therefore owe Dutch corporate income tax on its profit, and box 2 tax when it pays you.

Because the US may tax nothing while the Netherlands sees a company, the timing and amount of tax can differ a lot from what people expect. Talk to a belastingadviseur before the LLC starts trading.

Money and reporting

There are no exchange controls on funding the LLC or receiving distributions. Your shares in the LLC and its distributions belong on your Dutch income tax return. Keep a record of every transfer between you and the company.

The US side is the same for everyone

Where you live does not change the US part. It is done online, without travelling, without a US address and without an SSN.

  1. Choose a state: Wyoming or New Mexico for low running costs, Delaware if you plan to raise money from investors.
  2. The formation document is filed with a registered agent in that state, within 48 hours.
  3. The EIN is requested from the IRS as soon as the state approves. No SSN or ITIN is needed.
  4. You get the operating agreement that banks and payment providers ask for.
  5. With those documents you apply for a US business bank account, for example at Mercury.
  6. Every year: the registered agent, the state's annual report where there is one, and Form 5472 for a single-member LLC owned by a foreign person.

Which state?

With no people or premises in the US you can choose any state. Most founders abroad choose on yearly cost and speed.

Pay for your LLC in Euro

At checkout you can pay in Euro instead of US dollars, including iDEAL. We convert at the day's ECB reference rate plus 1.5%, fixed at the moment you order.

Netherlands FAQ

Questions from Dutch founders

Can a Dutch resident own 100% of a US LLC?

Yes. No US state requires LLC members to be American or to live in the US, and the EIN is issued without an SSN or ITIN.

Is a US LLC transparent for Dutch tax?

Since 2025 the starting point is no: the law presumes a US LLC is comparable to a BV. The presumption can be rebutted on the facts of the operating agreement, which is a question for a belastingadviseur.

Is a US LLC an alternative to a BV or an eenmanszaak?

Not as a way to save tax. Run from the Netherlands, it is generally taxed like a Dutch company, with US filings such as Form 5472 on top.

Can my BV own the US LLC?

Yes. Any company can be a member of an LLC. The Dutch rules for foreign subsidiaries then apply at the level of your BV.
