From Brazil

For founders who live in Brazil

Start a US LLC from Brazil

A Brazilian resident can own 100% of a US LLC and form it online. The real questions are on the Brazilian side: since 2024 the profit of a foreign company you control can be taxed in Brazil every year, and money in and out goes through câmbio.

Important: Since 2024, and more clearly after a Receita Federal ruling in April 2026, the profit of a US LLC controlled by a Brazilian resident can be taxed in Brazil every year at 15%, even if you never take it out. Talk to a contador before you form the LLC.

Why a US LLC

Why Brazilian founders form a US LLC

Invoice in US dollars

Bill US and international clients in dollars, paid to a US account, instead of converting every payment to reais when it arrives.

A US Stripe account

Stripe works in Brazil, but a Brazilian account pays out in reais. A US LLC can apply for a US Stripe account that settles in dollars.

Pix from Brazilian customers

A US Stripe account can accept Pix from customers in Brazil and settle in dollars. The customer pays IOF on top, currently 3.5%.

A US company for US clients

Some US clients and platforms find it simpler to contract with and pay a US company that has an EIN.

One company for global sales

One entity for US marketplaces and app stores, and for clients in other countries, with one dollar account behind it.

Getting paid from Brazil

Stripe is available to businesses registered in Brazil and supports Pix and local cards. A Brazilian Stripe account settles in reais, so revenue in dollars is converted along the way. Shopify Payments is not offered in Brazil; Brazilian stores use a third-party payment provider.

With a US LLC, its EIN and a US business bank account, you can apply for a US Stripe account like any American company. It accepts cards from almost every country, and it can also accept Pix from customers in Brazil. Those Pix payments settle in dollars, the Brazilian customer pays the IOF on top, and Stripe sets limits per Brazilian customer of USD 3,000 a day and USD 10,000 a month.

Stripe reviews every account and makes its own decision. No formation service can promise approval.

Brazilian tax: Law 14.754/2023

Brazil taxes its residents on worldwide income. Since 1 January 2024, Law 14.754/2023 sets the rules for individuals with investments and controlled companies abroad. The profit of a foreign company you control is taxed at 15%. As a rule that happens when the profit is distributed, but for a company in a country or regime that Brazil lists as favored or privileged, or one with mostly passive income (active income below 60%), the profit is taxed every 31 December, even if it stays in the company.

In April 2026 the Receita Federal published a ruling (Solução de Consulta Cosit 56/2026) that treats a US LLC owned by non-US residents and taxed as transparent in the US as a privileged tax regime. On that reading, the profit of an LLC controlled by a Brazilian resident is taxed in Brazil each year. A ruling formally binds only the person who asked, and tax practitioners dispute it, but it shows how the Receita looks at these companies. Brazil and the US have no income tax treaty.

The law also has an option to treat a controlled company as transparent and report its assets and income as your own. Which treatment fits your LLC, and how any US tax is credited, are questions for a contador who works with international structures. Ask before you form the company, not after the first year.

Reporting: DIRPF and CBE

Your interest in the LLC goes on your annual income tax return (DIRPF), together with the profit it makes under the rules of Law 14.754/2023. Keep the LLC's books and bank statements from day one; they support what you declare.

Separately, the Banco Central do Brasil collects the CBE declaration (Capitais Brasileiros no Exterior). A resident whose assets abroad total USD 1 million or more on 31 December must file the annual CBE; from USD 100 million there is also a quarterly one. Your interest in the LLC and any accounts abroad in your own name count toward that total.

Sending money to the LLC and bringing it back

Brazil's foreign exchange law (Law 14.286/2021) lets residents send money abroad and receive it without prior approval from the Banco Central, as long as it goes through an institution authorized to operate in the exchange market. In practice your bank or an authorized FX provider books a câmbio contract for each transfer and records its purpose.

IOF applies to most exchange operations. Under Decree 12.499/2025, whose effects the Supreme Court restored in July 2025, the rate is 3.5% for most outgoing transfers and 1.1% for transfers for investment abroad, while most incoming transfers carry 0.38%. Rates are set by decree and can change; the IOF is shown on every câmbio contract.

Profit you take out of the LLC arrives as an incoming transfer, converted to reais through a câmbio contract. Keep the LLC's records, the distribution and the bank documents together for your contador.

The US side is the same for everyone

Where you live does not change the US part. It is done online, without travelling, without a US address and without an SSN.

  1. Choose a state: Wyoming or New Mexico for low running costs, Delaware if you plan to raise money from investors.
  2. The formation document is filed with a registered agent in that state, within 48 hours.
  3. The EIN is requested from the IRS as soon as the state approves. No SSN or ITIN is needed.
  4. You get the operating agreement that banks and payment providers ask for.
  5. With those documents you apply for a US business bank account, for example at Mercury.
  6. Every year: the registered agent, the state's annual report where there is one, and Form 5472 for a single-member LLC owned by a foreign person.

Which state?

With no people or premises in the US you can choose any state. Most founders abroad choose on yearly cost and speed.

Brazil FAQ

Questions from Brazilian founders

Can a Brazilian resident own 100% of a US LLC?

Yes. No US state requires the owner to be a US citizen or resident, and the EIN is issued without an SSN or ITIN. The Brazilian tax and reporting rules apply on top.

Do I need a CPF or CNPJ for the US LLC?

Not for the US side; you identify yourself with your passport. Your Brazilian bank needs your CPF for every câmbio contract, and the LLC goes on the DIRPF filed under your CPF.

Is profit I leave in the LLC tax-free in Brazil?

Not necessarily. Under Law 14.754/2023 and the Receita's 2026 ruling on US LLCs, the profit of a controlled LLC can be taxed every 31 December without a distribution. A contador can tell you how this applies to you.

Can Brazilian customers pay my US company with Pix?

Yes, through a US Stripe account with Pix turned on, within Stripe's limits per customer. The payment settles in dollars and the customer pays the IOF on top.

Do I have to file the CBE?

Only if your assets abroad total USD 1 million or more on 31 December. Below that amount the LLC still goes on your DIRPF.
